Terms of Service
Last updated: October 20, 2026
These Terms of Service (the "Terms") are a binding agreement between you and Galitek LLC ("Galitek LLC", "we", "us" or "our"), the company that operates PaperSpend at paperspend.com and any related websites, applications and services (together, the "Service"). Our Privacy Policy explains how we handle personal information and forms part of these Terms.
Please read these Terms carefully. These Terms contain a binding arbitration agreement and a class-action waiver, in "Dispute resolution and arbitration", that affect how disputes are resolved. Unless you opt out within 30 days as described there, you and Galitek LLC agree to resolve disputes through individual arbitration rather than in court or as part of a class action.
1. Accepting these Terms
By creating an account, clicking to accept these Terms, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you use the Service on behalf of a company or other organization, you represent that you have authority to bind it to these Terms, and "you" refers to both you and that organization.
2. Eligibility
To use the Service you must:
- be at least 18 years old and able to form a binding contract where you live;
- not have been previously suspended or removed from the Service by us; and
- not be located in a country subject to comprehensive U.S. sanctions, or be named on, or owned or controlled by anyone named on, a U.S. government restricted-party list (see "Export controls and sanctions").
3. Your account
You must give accurate information when you register and keep it up to date. You are responsible for keeping your password confidential, for all activity under your account, and for the security of the devices and email account you use to access it. Tell us immediately at info@paperspend.com if you suspect unauthorized access.
Accounts are personal. You may not share your sign-in credentials, sell or transfer your account, or create accounts by automated means. We may refuse a registration, or reclaim a username or account, at our discretion.
4. What the Service is — and is not
PaperSpend lets you upload bank and credit-card statement files, extracts the transactions in them, categorizes your spending and presents consolidated monthly summaries and exports. It does not connect to your bank, and you should never give us your online banking credentials.
PaperSpend is an organizational tool. It is not a bank, payment service, lender, credit reporting agency, or financial, investment, tax, accounting or legal adviser, and nothing in the Service is financial, investment, tax, accounting or legal advice. You should consult a qualified professional before making decisions based on information in the Service.
PaperSpend is not a record-keeping or archival service. You remain responsible for keeping your original statements and any records you are required by law to keep. Do not rely on the Service as your only copy of any document or data.
5. Your content
"Your Content" means the statements and other files you upload, and the information in or derived from them, including your edits, categories and notes. You own Your Content.
You grant Galitek LLC and the service providers we use to operate the Service a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, process (including with artificial intelligence, as described in our Privacy Policy), analyze and display Your Content, solely to provide, secure and support the Service for you and to comply with law. This licence ends when Your Content is deleted from our systems, except as needed to comply with our legal obligations. We do not use Your Content to train AI models.
You represent and warrant that:
- you are the holder of each account whose statements you upload, or are authorized by the holder to upload them and to let us process them under these Terms and our Privacy Policy;
- you have any consents or notices needed under applicable law for us to process personal information about other people that appears in Your Content; and
- uploading and processing Your Content does not violate any law, contract or third-party right.
6. Automated processing and accuracy
The Service reads statements automatically, using software and third-party artificial intelligence models. We check extracted figures against each statement and block imports that do not reconcile, but automated extraction, categorization and transfer detection can still be incomplete or wrong — for example, if a statement is damaged, unusual, scanned at low quality, or itself contains errors. You can also override reconciliation checks, in which case the data is marked as unreconciled.
You are responsible for reviewing the results and verifying them against your original statements before relying on them, including for budgeting, tax returns, expense claims, loan applications, accounting or any other purpose. We are not responsible for any decision you make, or any filing you submit, based on information produced by the Service.
7. Acceptable use
You agree not to, and not to help anyone else to:
- upload statements or data you are not authorized to use, or use the Service to collect or process another person's financial information without their authorization;
- upload anything unlawful, fraudulent, forged or altered, or use the Service to facilitate fraud, money laundering, terrorist financing, sanctions evasion or any other illegal activity;
- upload malware, or files designed to exploit, disrupt or manipulate the Service or the AI models it uses (including prompt-injection content);
- probe, scan or test the vulnerability of the Service, or breach or circumvent any security, authentication, rate limit or plan limit, except under a written agreement with us;
- access or attempt to access another user's account or data;
- scrape, crawl or access the Service by automated means other than features we provide for that purpose;
- copy, modify, reverse engineer, decompile or create derivative works of the Service, except to the extent the law expressly permits;
- resell, sublicense, rent or provide the Service to third parties as a service bureau, or use it to build a competing product; or
- use the Service in a way that could damage, overload or impair it, or interfere with anyone else's use of it.
8. Plans, billing and cancellation
Plans
The Service is offered on a free plan and on paid subscription plans with the features and limits (such as the number of statements per month) described on our pricing page at the time you subscribe. We may change the features of the free plan at any time.
Automatic renewal
Paid subscriptions renew automatically at the end of each billing period (monthly or annually, as you select) at the then-current price, and your payment method will be charged at the start of each period until you cancel. By subscribing you authorize us, through our payment processor Stripe, to charge your payment method on a recurring basis. You must keep a valid payment method on file.
Cancellation
You can cancel at any time from the billing section of your account settings, or by emailing info@paperspend.com. Cancellation takes effect at the end of your current billing period; you keep paid features until then, and your account then moves to the free plan.
Refunds
Except where required by law or stated otherwise at the time of purchase, fees are non-refundable and we do not give refunds or credits for partial billing periods, unused statement allowances, or downgrades. If you are a consumer in a country that gives you a statutory right to withdraw from a digital service contract, you request that the Service start immediately and acknowledge that you lose that right once the Service has been fully provided, to the extent the law allows.
Price changes
We may change subscription prices. We will give you at least 30 days' notice by email before a price increase applies to your subscription, and it will take effect at your next renewal after that notice. If you do not agree, cancel before the renewal.
Taxes and failed payments
Prices do not include taxes unless stated. You are responsible for any sales, use, value-added, goods and services or similar taxes, which we may collect where required. If a payment fails, we may retry it, and may suspend paid features or move your account to the free plan until payment is made. If you dispute a charge with your bank without first contacting us, we may suspend your account while the dispute is resolved.
9. Exporting and deleting your data
While your account is open you can export your transactions in the formats the Service offers, and delete individual statements. You can delete your account at any time. As described in our Privacy Policy, a deleted account can be restored for 30 days, after which it and Your Content are permanently deleted and cannot be recovered.
It is your responsibility to export any data you want to keep before you delete your account or it is otherwise closed. We are not liable for the loss of Your Content after it has been deleted in accordance with these Terms or your instructions.
10. Our intellectual property
The Service, including its software, design, text, graphics, categorization rules and the PaperSpend name and logo, is owned by Galitek LLC or its licensors and protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service for your own personal or internal business purposes. All rights not expressly granted are reserved.
If you send us feedback or suggestions, you grant us the right to use them without restriction or compensation to you.
11. Third-party services
The Service relies on and may link to third-party services, such as Google sign-in, Stripe for payments, and cloud and AI providers. Your use of a third-party service you interact with directly (for example, your Google account or Stripe Checkout) is governed by that third party's terms. We are not responsible for third-party services and do not guarantee their availability.
12. Suspension and termination
You may stop using the Service and delete your account at any time.
We may suspend or terminate your access to all or part of the Service, with or without notice, if we reasonably believe that you have breached these Terms, that your use creates a security, legal or financial risk for us or others, that we are required to do so by law, or if your account has been inactive for an extended period. Where reasonable we will give you notice and an opportunity to export Your Content first. We may also discontinue the Service entirely, in which case we will give you at least 30 days' notice and refund any prepaid fees for the period after discontinuation.
Sections that by their nature should survive termination — including those on fees owed, Your Content licence (for the period needed to delete it), intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution and governing law — survive.
13. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, Galitek LLC and its members, managers, employees, agents, licensors and service providers disclaim all warranties, express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Service will be uninterrupted, timely, secure or error-free; that extracted, categorized or summarized data will be complete or accurate; that defects will be corrected; or that the Service will meet your requirements or be compatible with any particular statement format.
Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
14. Limitation of liability
To the fullest extent permitted by law, in no event will Galitek LLC or its members, managers, employees, agents, licensors or service providers be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, savings, data, goodwill or business opportunity, or for tax penalties or interest, arising out of or relating to these Terms or the Service, however caused and under any theory of liability, even if advised of the possibility of such damages.
To the fullest extent permitted by law, our total liability for all claims arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts you paid us for the Service in the 12 months before the event giving rise to the claim, and (b) one hundred U.S. dollars (US$100).
These limitations are an essential part of the bargain between us and apply even if a remedy fails of its essential purpose. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, such as liability for fraud, gross negligence or wilful misconduct, or for death or personal injury caused by negligence.
15. Indemnification
To the extent permitted by law, you will defend, indemnify and hold harmless Galitek LLC and its members, managers, employees and agents from any claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or relating to Your Content, your use of the Service, your breach of these Terms, or your violation of any law or third-party right — including any claim by a person whose information appears in a statement you uploaded. We may assume control of the defence of any such claim at our expense, and you will cooperate with us.
16. Dispute resolution and arbitration
Informal resolution first
Most concerns can be resolved quickly. Before starting any arbitration or court proceeding, you and we each agree to send the other a written notice describing the dispute and the relief sought (ours to the email on your account; yours to info@paperspend.com), and to try in good faith to resolve it informally for at least 60 days.
Binding individual arbitration
If we cannot resolve it informally, you and Galitek LLC agree that any dispute, claim or controversy arising out of or relating to these Terms or the Service (including their formation, interpretation, enforceability and scope, and including claims that arose before these Terms) will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect (or its Commercial Arbitration Rules if you use the Service for business purposes). The Federal Arbitration Act governs this agreement. The arbitrator may award the same individual relief a court could, but only for the individual party seeking it. The arbitration will be conducted in English, by video conference or in the county where you live, or in Virginia, at your choice. Payment of filing and arbitrator fees will be governed by the AAA rules; for non-frivolous consumer claims of less than US$10,000, we will reimburse your filing fees.
Exceptions
Either party may bring an individual claim in small-claims court where it qualifies, and either party may seek an injunction in court to stop infringement or misuse of its intellectual property or unauthorized access to the Service.
Class-action and jury-trial waiver
You and Galitek LLC agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate more than one person's claims. You and Galitek LLC each waive any right to a jury trial.
Mass filings
If 25 or more similar demands are filed against us by or with the help of the same or coordinated counsel, they will be administered under the AAA's Mass Arbitration Supplementary Rules, and the parties agree to bellwether proceedings and staged filing to the extent those rules permit.
Your right to opt out
You can opt out of this arbitration agreement by emailing info@paperspend.com within 30 days of first accepting these Terms, with the subject "Arbitration opt-out" and your name and account email. Opting out does not affect any other part of these Terms.
Severability of this section
If the class-action waiver is found unenforceable for a claim, that claim must be severed and brought in court, and the remainder arbitrated. If any other part of this section is found unenforceable, the rest remains in effect. This section survives termination of these Terms.
Time to bring claims
To the extent permitted by law, any claim must be brought within one year after it arises, or it is permanently barred.
17. Governing law and venue
These Terms and any dispute between us are governed by the laws of the Commonwealth of Virginia and applicable U.S. federal law, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to the "Dispute resolution and arbitration" section, any claim not subject to arbitration must be brought exclusively in the state or federal courts located in Virginia, and you and Galitek LLC consent to their personal jurisdiction.
18. Export controls and sanctions
You may not use, export or re-export the Service in violation of U.S. export control and economic sanctions laws or any other applicable laws. You represent that you are not located in, or ordinarily resident in, a country or region subject to comprehensive U.S. sanctions, and that you are not on, or owned or controlled by anyone on, any U.S. government list of prohibited or restricted parties. We may block access from such locations and terminate any account that violates this section.
19. If you live outside the United States
We make the Service available worldwide, but we make no representation that it is appropriate or lawful in every country. You are responsible for complying with local laws that apply to you.
If you are a consumer, nothing in these Terms takes away mandatory protections you have under the laws of the country where you live. In particular, if you are a consumer resident in the European Union, the United Kingdom or Switzerland: the "Dispute resolution and arbitration" section (including the class-action waiver) does not apply to you; you may bring proceedings in the courts of the country where you live; the choice of Virginia law does not deprive you of the protection of the mandatory consumer-protection laws of that country; and the "Disclaimers" and "Limitation of liability" sections apply only to the extent those laws allow.
20. Changes to the Service and these Terms
We continually improve the Service and may add, change or remove features. If a change materially reduces the core functionality of a paid plan you have already paid for, you may cancel and we will refund the unused portion of your prepaid fees.
We may update these Terms. We will post the new version here and update the "Last updated" date, and for material changes we will notify you by email or in the Service at least 30 days before they take effect, except where a change is required by law or addresses a security issue, in which case it may apply sooner. By continuing to use the Service after a change takes effect you accept the updated Terms; if you do not agree, you must stop using the Service and may delete your account. Changes to the "Dispute resolution and arbitration" section will not apply to disputes already notified to us.
21. General terms
- Entire agreement. These Terms, the Privacy Policy and any terms shown to you at purchase are the entire agreement between you and Galitek LLC about the Service and supersede any prior agreements.
- Assignment. You may not assign or transfer these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization or sale of assets, or to an affiliate.
- Severability and waiver. If any provision is found unenforceable, it will be enforced to the maximum extent permissible and the rest will remain in effect. Our failure to enforce a provision is not a waiver of it.
- Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control, including outages of hosting, AI or payment providers, internet failures, natural disasters, pandemics, war, terrorism, labour disputes or acts of government.
- Electronic communications. You agree to receive notices, agreements and other communications from us electronically, by email or in the Service, and that they satisfy any legal requirement that they be in writing.
- Relationship. No agency, partnership, joint venture or employment relationship is created by these Terms. There are no third-party beneficiaries.
- Language. These Terms are written in English. Any translation is for convenience only, and the English version governs in the event of any conflict.
- Headings. Section headings are for convenience only and do not affect interpretation.
